Terms of service

What you agree to when you open a desk, what we do and do not promise, and how disputes are handled. Section 4 covers electronic signatures; section 9 covers email, which is how the product works.

1. The service

247Docs is operated by 247Docs Inc., a corporation organised under the laws of the State of New York, with its principal office at 41 Madison Avenue, Floor 25, New York, NY 10010.

247Docs is an electronic signature service. You upload a document, name the people who must sign it, and we deliver it, collect their signatures, seal the finished file and keep an audit trail of what happened and when. The agreement itself is between you and the people who sign it. We are not a party to it.

247Docs is not a law firm and gives no legal advice. Whether a particular document is valid, enforceable or suitable for electronic signature in your jurisdiction is your decision to make, with your own counsel.

2. Your account

Accounts are opened by application. You must be at least 18 years old, apply under your real name and the real name of the business you sign for, and give an email address you control and check. One account per person.

You are responsible for everything done through your account and for keeping your password to yourself. Tell us promptly if you believe someone else has access to it.

Approval is at our discretion and can be withdrawn. We may decline an application without giving a reason.

3. Acceptable use

You agree not to

  • Send a document for signature that you have no authority to send, or sign one in a name that is not yours.
  • Use the service for wills, codicils, testamentary trusts, adoption or divorce papers, court orders, or any other record excluded from the Uniform Electronic Transactions Act.
  • Send a document that is fraudulent, that misrepresents its own contents, or that is designed to obtain money or data under false pretences.
  • Upload malware, or a file crafted to attack the people who open it.
  • Harvest signer names or email addresses, by hand or by automated means, for any purpose other than the transaction they were given for.
  • Interfere with the operation of the service, or attempt to access an account, document or audit trail that is not yours.

Signers are people, not addresses. If you send a document to someone who did not expect it and has no relationship with you, that is unsolicited mail, and we treat it as a breach of these terms.

4. Electronic signatures and records

By signing a document through this service you agree that your electronic signature has the same legal effect as a handwritten one, under the federal Electronic Signatures in Global and National Commerce Act (ESIGN) and the Uniform Electronic Transactions Act as adopted in your state.

You may withdraw that consent at any time before you sign, by declining the document and telling the sender you want a paper copy instead. Withdrawing consent does not undo a signature you already gave.

To view and keep the documents you sign you need a current web browser, an email address you can access, and the ability to open and store PDF files. 247Docs gives you a downloadable copy of every completed document, with its audit trail, at no charge.

Each completed document carries an audit trail recording the time each signer opened, signed or declined it, the IP address the action came from, and the email address it was delivered to. That trail is part of the record and cannot be edited by anyone, including us.

5. Your documents

The documents you upload stay yours. You grant us the narrow licence we need to store them, deliver them to the signers you name, render them in a browser and return them to you sealed. Nothing else.

We do not read your documents to build a profile of you, we do not train anything on them, and we do not disclose them to a third party except where the law compels it and, where we are permitted to, we tell you first.

You are responsible for what a document says and for having the right to send it. We may remove content that breaks these terms, without notice.

6. Term and termination

You may close your account at any time by writing to us. We may suspend or close an account that breaks these terms, that presents a risk to signers, or that has been dormant for an extended period.

Export your files before you close the account. On closure we give you 30 days to download completed documents and their audit trails, and after that we delete what we are not required to keep.

Closing an account does not undo a document that has already been signed, and does not end an obligation the signed document created.

7. Limitation of liability

247Docs is provided as-is. We do not warrant that a signer will open your document, sign it, sign it on time, or be who they say they are.

To the fullest extent permitted by law, 247Docs Inc. is not liable for any indirect, incidental, special or consequential loss, including lost profit or a transaction that failed to close. Our total liability arising out of or relating to the service is limited to one hundred United States dollars.

Nothing in these terms limits liability that cannot be limited under applicable law.

8. Governing law and venue

These terms are governed by the laws of the State of New York, without regard to its conflict-of-laws rules. The state and federal courts sitting in New York County, New York have exclusive jurisdiction, and you consent to venue there.

8.1 Consumer protection

Nothing in these terms waives any right you have under New York General Business Law § 349, which prohibits deceptive acts and practices. Complaints may be brought to the Bureau of Consumer Frauds and Protection of the New York State Attorney General.

8.2 Dispute resolution

Before starting a formal proceeding, both sides agree to attempt to resolve the dispute in good faith for sixty days. If that fails, the dispute is settled by binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, seated in New York County, New York.

Claims must be brought individually. Class, collective and representative actions are waived. Either party may still bring an individual claim in small-claims court.

9. Email communications

247Docs is an email-based product. Email is how a document reaches a signer, how you learn that it was signed, and how you learn that your application was decided. By creating an account you consent to receive transactional email from 247Docs at the address you provide. By ticking the optional consent box during signup, you additionally consent to receive recurring summary and product email at that address.

Purpose of emails

Email may include: address verification links, password-reset links, application status notices (received, approved, declined), documents sent to you for signature, notices that a document was opened, signed, declined or completed, deadline and expiry reminders, copies of completed documents and their audit trails, security notifications, service announcements and, only with your explicit consent, a weekly desk summary and occasional product email.

Email frequency

Frequency follows your activity on the service. A typical active account receives between 4 and 15 transactional emails per month; an account with nothing out for signature may receive none. Optional summary and product email is limited to no more than 2 messages per month.

Costs

Message and data rates may apply. 247Docs does not charge for email. Any data or storage charges levied by your own email provider apply at their standard rates and are not controlled by 247Docs.

Unsubscribe and HELP

You can opt out of optional email at any time: use the one-click unsubscribe control your mail client shows, use the Unsubscribe link in the footer of any email, or switch categories off under Settings. Your address is removed from the optional register within 24 hours. For HELP, email help@247docs.net or call (646)-583-2914. Transactional email about a document you are a party to, or about your account security, cannot be switched off while the account is open.

Eligibility

Consent to optional email is not a condition of holding an account or of sending a document for signature. Recipients must be 18 years or older.

10. Changes to these terms

We may revise these terms. Where a change materially affects your rights we will email you at least 14 days before it takes effect. Continuing to use the service after that date means you accept the revised terms.
